1. PURPOSE AND SCOPE

These Terms of Sale ("ToS") govern all purchases and transactions made by users ("the Buyer" or "You") within the SportFriends mobile application, published by [COMPANY NAME], [LEGAL FORM], registered under number [SIRET NUMBER], with registered office at [FULL ADDRESS] (hereinafter "the Publisher").

Any order placed on the Application implies full acceptance of these ToS. These ToS prevail over any other document, except prior written agreement from the Publisher.

2. FREE PRINCIPLE — NO MANDATORY SUBSCRIPTION

The SportFriends application is completely free in its basic version.

You can, at no cost:

  • Create and join unlimited Spots
  • Access all essential networking features
  • Use messaging and share content in Spots

The purchases described in the following sections are strictly optional and do not in any way condition access to the Service's basic features.

3. PRODUCTS AND SERVICES AVAILABLE FOR PURCHASE

3.1 Boosts — Message Highlighting

Boosts are one-time, non-recurring purchases that highlight a message in the local news feed. They are available in three levels:

Boost Features:

  • One-time purchase, no subscription or automatic renewal
  • Immediate effect upon payment validation
  • Visibility duration starts immediately upon activation, regardless of actual use
  • Cannot be combined with other active Boosts on the same message

3.2 Donations — Support SportFriends

The Buyer can support the application's development by making a one-time donation from the following amounts:

Donation Details:

  • These are voluntary donations, non-refundable by nature
  • Benefits (badge, Karma, ad-free browsing) are granted immediately and permanently upon receipt of the donation
  • Karma points are virtual rewards with no monetary value, non-exchangeable, non-transferable and non-refundable
  • Ad-free browsing is granted for a temporary period linked to the donation amount; it implies no commitment from the Publisher beyond this period

4. PRICES AND TAXES

All prices displayed in the Application are shown in euros (), including all taxes (VAT included), at the VAT rate applicable at the time of purchase.

The Publisher reserves the right to modify prices at any time. The applicable price is the one in effect at the time of order validation.

5. PAYMENT METHODS

Payment is made exclusively by credit card (Visa, Mastercard, American Express) and is processed securely by our payment provider Stripe (Stripe, Inc., 354 Oyster Point Blvd, South San Francisco, CA 94080, USA).

The Buyer's banking data is transmitted directly to Stripe using SSL encryption protocol and is never stored on the Publisher's servers.

Stripe is PCI-DSS (Payment Card Industry Data Security Standard) certified. By making a purchase, you also accept Stripe's terms and conditions available at stripe.com/legal.

The order is confirmed upon receipt of payment by Stripe. A payment receipt is sent to you by email.

6. DELIVERY AND ACTIVATION

As the products sold are dematerialized digital goods, their delivery is immediate: the associated features (Boost, badge, Karma, ad-free browsing) are activated in your account without delay, upon payment validation.

No physical delivery is made.

7. RIGHT OF WITHDRAWAL — EXPRESS WAIVER

In accordance with Article L.221-28, 13° of the Consumer Code, the 14-day right of withdrawal does not apply to digital content provided on an intangible medium whose execution has begun with the consumer's prior express consent, who has waived their right of withdrawal.

By validating the purchase of a Boost or Donation, you expressly and irrevocably acknowledge:

  • Having requested immediate execution of the digital service
  • That the digital service began immediately after your payment
  • Expressly waiving your 14-day right of withdrawal provided by Article L.221-18 of the Consumer Code

Consequently, no refund can be granted once payment is validated, except in case of proven technical defect attributable to the Publisher (see section 8).

8. WARRANTIES AND CLAIMS

In case of technical defect preventing activation or use of purchased features (example: Boost not activated, badge not awarded despite confirmed payment), the Publisher undertakes to:

  • Correct the problem as soon as possible, or
  • Proceed with a full refund if the problem cannot be resolved

For any claim, contact us within 7 days following the purchase:

Any claim must be accompanied by the Stripe payment receipt and a precise description of the problem encountered. The Publisher undertakes to acknowledge receipt within 48 business hours.

9. REFUND POLICY

Subject to the provisions of section 8 (technical defect):

  • Boosts and Donations are neither refundable nor exchangeable, in accordance with the express waiver of the right of withdrawal (Article L.221-28 of the Consumer Code)
  • Simply not using an activated Boost does not constitute grounds for refund
  • Voluntary deactivation of your account does not entitle you to a refund of ongoing purchases
  • Karma points and virtual badges cannot in any case be converted into money or refunded

10. USE OF PURCHASES AND RESTRICTIONS

Purchases made on the Platform are:

  • Personal and strictly linked to the Buyer's user account
  • Non-transferable to another account
  • Non-assignable to third parties
  • Reserved for use in accordance with the Application's Terms of Use (ToU)

The Publisher reserves the right to deactivate without refund any Boost or benefit from a Donation in case of ToU violation, particularly in case of abusive behavior, fraud or circumvention of the Application's rules.

11. PERSONAL DATA PROTECTION

As part of payment processing, data necessary for the transaction (identity, email, payment method) are processed in accordance with GDPR and our Privacy Policy, accessible at [LINK].

Banking data is processed exclusively by Stripe and is never accessible to the Publisher.

12. MODIFICATION OF OFFERS AND ToS

The Publisher reserves the right to modify at any time:

  • Available offers (prices, durations, benefits of Boosts and Donations)
  • These ToS

Modifications take effect from their publication in the Application. Purchases made before any modification remain governed by the ToS in effect at the time of purchase.

13. MEDIATION AND DISPUTE RESOLUTION

In case of dispute relating to a purchase, the Buyer is invited to first contact the Publisher's customer service (see section 8).

Failing an amicable resolution, the consumer Buyer may use the competent consumer mediator free of charge:

14. APPLICABLE LAW AND JURISDICTION

These ToS are governed by French law. In case of dispute and failing an amicable resolution, French courts shall have sole jurisdiction.
